Overview

The Director Certification Program (“DCP” or “Program”) is developed by the Vietnam Institute of Directors (“VIOD”) with technical support from the International Finance Corporation (“IFC”) in partnership with Swiss State Secretariat for Economic Affairs (“SECO”) and the Government of Japan.  DCP, a core component of VIOD’s Governance Excellent Program (GEP), is designed to serve the growing need for training on knowledge and skills needed for board of directors.  It will help participants develop their skills as a director and further enhance their director career, strengthen understanding of the principles and practices of good corporate governance. This dynamic and well recognized program will equip participants with thorough knowledge of the responsibilities of Board of Directors and Board of Management. Upon successful completion of the DCP assessments, program participants will receive the DCP award issued by VIOD.

How is the Program delivered?

The Program is in three full-days with intensive face-to-face facilitated sessions, will provide participants with lectures, case studies, and exercises to develop directors’ boardroom skills.  The Program will be highly interactive and encourage participants to share and discuss their own experiences.

Each module draws upon a variety of facilitators with in-depth knowledge of the subject and rich experience of board environments.

The Director Certification Program is comprised of nine modules covering the basic understanding of corporate governance best practices and regulatory framework required for a director in Vietnam. Madam Thanh has recently been appointed as Chairperson of VIOD’s Board. She is also serving as Chairperson of Deloitte Vietnam, one of the four largest Consulting Firms in the world – with 35 years of experience in the field of Audit and Advisory, including 28 years working for the company since its establishment.

With 20 years in the top leadership at Deloitte Vietnam, including 16 years as a Chairman cum CEO, she is a leading expert in Corporate Governance, Leadership Development, Accounting - Auditing, etc.

She has been serving as a senior advisor/coach for the Board of Directors (BOD) of many large corporations in Vietnam and a speaker at many prestigious forums regarding corporate governance, leadership, sustainable growth, etc.

Madam Thanh holds a B.Sc. in Finance and Accounting, a Bachelor of Law, a Master of Business Administration from University of Hawaii, USA, a Certified Public Accountant in Vietnam and Australia, and a Certificate in Legal Practice. She was ranked one of the “20 most influential women in Vietnam” by Forbes and awarded the “Asia Pacific Entrepreneur Award” by Enterprise Asia in 2017.

Mr. Scriven is the Executive Chairman of Dragon Capital Group. Before founding the company in 1994, he worked in financial markets in London and Hong Kong. He serves as a director of various Vietnamese public companies and actively promotes financial market development and governance.

A U.K. national fluent in Vietnamese, Mr. Scriven received an OBE from Queen Elizabeth in 2006 and was awarded the Labor Medal by the Vietnamese President in 2014. He graduated from Exeter University with a degree in Law and Sociology and studied at Hanoi University for two years.

Dr. Roman Zyla is currently the Regional Corporate Governance Lead (East Asia Pacific) based in Bangkok, Thailand, where he covers the EAP region.  His principle role includes assessing corporate governance practices of IFC investment clients as well as business development for ESG advisory services.

Roman’s experience in corporate governance includes work with financial institutions, funds, listed companies, state-owned enterprises, and family-owned companies across Eastern Europe, Africa and East Asia Pacific.  Roman has more than 20 years of experience in risk analysis, small enterprise and corporate development, and has served as a founding board member of a family-run company.

A specialist in emerging market business development, Roman holds a Ph.D. from University College, University of London on the subject of SME development. With experience in East Asia Pacific, he has also worked throughout Africa, Eastern and Central Europe, Central Asia as well as MENA, and Latin America.

Before joining Dynam Capital, Mr. Thinh is the CEO and Vice Chairman of Vietnam Holding Asset Management (VNHAM) as well as the Chairman of its Environmental, Social and Governance Committee. He has more than 25 years of experience in asset management and management consulting.

Before joining VNHAM, he was the CEO of a local asset management company and the Managing Partner of MCG Management Consulting. Prior to that, he headed the management consulting practice of KPMG Vietnam.

Mr. Thinh has been serving on the boards of several listed and private companies in Vietnam. He is a visiting lecturer of executive training programs organized by Vietnam National University Hanoi School of Business, FPT University School of Business, and PACE Institute of Management.

He holds a Bachelor of Arts in Mathematical Economics from Hanoi Economics University and an MBA from Washington State University.

Ada has over 20 years of experience in capital market, investment and banking in Thailand. During that time, she led teams of Debt Capital Market, Financial Institutions Banking Relationship, Marketing and Sales at ABN AMRO Bank, HSBC and The Royal Bank of Scotland.   Ada has served as a member of Investment Advisory Team since 2009 for The Thai Red Cross Society, was Board of Director of Thai Bond Market Association in the early 2000’s and participated as SEC Committees Members on several working groups such as Sustainability of Thai listed companies, Bond Market Development etc.

During 2015-2018, Ada was Executive Vice President of Thai Institute of Directors with direct responsibility to oversee Director Development, Research and Policy Departments. She was leading the development and management all of 23 Training Programs of the Thai IOD.  These were offered in Thailand and CLMV countries with over 3,000 Directors, Senior Executives and Company Secretaries attendants per year.

She is now an independent director in a number of Thai listed companies and Consultant on Governance, Leadership and Financial Advisory.

Hieu received his Master of Law from the University of Maastrichts, Netherlands in 2004. As an analyst and policy-maker, he contributed to the success of the Government's project on administrative reform via his role as the head of the Investment Policy Review Group. He has been working extensively with the World Bank Group on corporate governance and other government reform area and is being a popular trainer/speaker on corporate governance topics. Currently, he is a member of the Vietnam Corporate Governance Initiative’s Council.

He is the principal author of the Enterprise Law 2014 known as the largest reform law on business freedom. He has extensive experience in policy-making tools such as RIA and Standard Cost Measurement (SCM).

For the last 10 years, Harold de Walque has been teaching MBA students, at the Solvay Business School Vietnam on the topic “From business planning to financial modelling”, reflecting on his 25 year experience as Managing Director, and CFO, of the leading tech companies he founded over the years, namely Transwide, sold in 2005 to Wolters Kluwer (Euronext: WKL), and Darts-ip, the global cases database in Intellectual Property, which he sold in December 2019 to the Clarivate group (NYSE: CCC) after leading it over 13 years in being trusted by the largest companies around the world. Clarivate retained his services to reinforce its M&A activities. As a committed investor and director, he advocates strong Corporate Governance and shareholder rights, throughout M&A, funding and growth in general. He holds a Master Degree in Management from Solvay Business School, Belgium.

Hoang Hung is member of North Vietnam Advisory Committee of CPA Australia (2019-2021) a Council member of the Vietnam Corporate Governance Initiative (VCGI). He has more than 26 years of professional experience in advisory and auditing at Big 4 companies in South-East Asia, Australia and the US. He is currently a member of VIOD Advisory Board.

He consulted on numbers of World Bank-funded projects such as technical preparation for issuance of a Decree on Internal Audit by the Ministry of Finance (Decree 05), internal audit capacity building for the Ministry of Finance, Ministry of Transport, Ministry of Construction and the State Bank of Vietnam as well as develop guideline and principle for financial supervision for state enterprises (Decree 61).

Hung has a MBA degree in international finance from Oxford Brookes University (UK) and is a Certified Internal Auditor (CIA) and member of  the Institute of Internal Auditors (IIA). He used to be a fellow member of ACCA, VACPA and currently is a member of CPA Australia. He is also qualified as Certified Family Business Advisor (CFBA) under Family Firms Institution (FFI)’s professional programs.

Having long working experience in multinational companies, such as UBS AG, Credit Suisse, Trisa AG, and Holcim Ltd, but also as entrepreneur, such as co-founder of a leading packaging company in Vietnam, managing director of PAT Industrial Park. He was also a strategy consultant for many companies in Vietnam, such as Holcim Vietnam Ltd, Viet-A Bank, PAT Industrial Park, Thien Y Packaging, Fideco JSC. Dr. Dinh has also spent several years in the field of education as Professor at the University of Applied Sciences and Arts Northwestern Switzerland for Strategy, International Management. Dr. Dinh was also a lecturer for Change Management in a Swiss program “Train-The-Trainers” for senior government officials in Beijing and Founder of a successful Swiss Master’s Program with a focus on Finance and Banking in Ho Chi Minh City. Currently, Dr. Dinh is acting as Scientific Director of Solvay Brussels School Vietnam and is lecturer for Corporate Strategy/Corporate Governance.  In research, Dr. Dinh is Portfolio-Partner of International Center for Corporate Governance at the University St. Gallen and is author as well as translator for several books in the field of strategy and corporate governance. Nguyet Anh started working at IFC in 2009. She has collaborated and provided CG advisory services to clients and partners such as the State Securities Commission of Vietnam, Stock Exchanges, State Bank of Vietnam, CIEM, various companies, banks and investment funds in Vietnam. She managed IFC’s Vietnam Corporate Governance Project to help setting up the Vietnam Corporate Governance Initiative (VCGI) in December 2016, establishment and launch of VIOD in April 2018 and completion of the first Vietnam CG Code of Best Practices issued in August 2019.

Prior to joining IFC, Ms. Nguyet Anh had 14 years of professional experience in auditing, corporate finance and transaction advisory services with PricewaterhouseCoopers (PwC) and other leading global accounting firms in Vietnam, Taiwan, Thailand and the United States. She held senior positions such as a Senior Manager for PwC Vietnam and Chief Financial Officer of Asia Brown Bovery Group in Vietnam. She is a fellow member of the UK’s Association of Chartered Certified Accountants (FCCA).

Mr Thinh devotes his 19+ years of broad experiences in the areas of risk, governance and compliance in Vietnam in the region. Prior to VIOD, he had spent 16 years with PwC where he led internal audit and risk management practices of Hanoi office serving clients across industry and sector. He has also acted as Head of Supervisory Board for a leading company in F&B industry.

Mr Thinh is also a frequent speaker in different public events organized by leading organizations such as PwC, VCCI, IFC, EU, ACCA, VACPA… on different topics of internal audit, finance effectiveness, risk management, corporate governance and sustainability development

Since 2013, Thinh has been the head of judging panel for the Sustainability Reporting Award, an annual reporting award by HOSE, HNX, SSC, Dragon Capital and VIR for listed companies. He is also Deputy President of ACCA Vietnam Member Committee.

He holds MBA from Latrobe University. He is also a fellow member of ACCA and Certified Internal Auditor.

Registration

TERMS & CONDITIONS

1. Due to limited seat, registration is only confirmed in written form via email upon successful payment. If you have not received a written confirmation acknowledgement prior to the commencement of the program, it is the participant’s responsibility to contact us to confirm.
2. All payments must be made by 2/4/2021.
3. Official invoice will be sent to you within 7 working days after the end of the training course.
4. No refund is applied upon no shows or cancellation after successful payment.
5. The conditions are subject to change without prior notice.

Cancellation Policy for successful registration and payments

When individuals or organizations have successfully registered, confirmed and have paid for their participation in VIOD’s fee-based programs and / or events (hereinafter referred to as “Registrant”) but could not attend the program for some reasons, the following terms will apply:

  • The Registrant can transfer their registration to another participant no later than 3 working days before the commencement of the registered program/event, provided that the new Registrant is accepted by VIOD.
  • If the Registrant notices VIOD via email or phone at least five working days in advance about the cancellation of their registration, they have the right to choose one of the following options:
    • VIOD shall refund 50% of the paid amount; or
    • VIOD shall reserve their right to register for future programs.
  • If the Registrant notices the cancellation of the registered program / event less than 5 working days, VIOD will not refund nor reserve the right to register for future programs.
