Modern Corporate Governance: Practical Lessons

Recently, on June 6, 2025, at the Workshop "Resolution 68-NQ/TW on private economic development: What opportunities for listed enterprises and public companies?", the Vietnam Institute of Directors (VIOD) officially launched the book "Modern Corporate Governance - Practical lessons" - the third publication in the book series. SGDG: VIOD Leadership, Governance, ESG.

Written by Professor Martin Hilb, this book is a perfect follow-up to his previous publication, focusing on translating theory into action through more than 20 practical cases. Each case reflects the conflicts and challenges in organizations – from family businesses, universities, non-profit organizations to startups, especially in the post-crisis context. Through this, the book helps readers understand that Corporate Governance is not about formal compliance, but a tool to create sustainable value through integrity, leadership culture, and responsible action.

The book’s valuable point is that the author not only tells stories but also always inserts open-ended questions at the end of each scenario: “If you were a member of the Board of Directors, which option would you choose, based on what criteria, and what consequences would you be willing to bear?”, forcing readers to reason for themselves, weigh the interests of all parties, and compare them with business reality.
