Overview

The Director Induction Program (“DIP” or “Program”) is a short course to introduce directors to the fundamental concepts of good corporate governance. The program helps new and aspiring directors to understand the expectations and key aspects of the boardroom to be well prepared for their jobs.

DIP is developed by the Vietnam Institute of Directors (“VIOD”) with main technical support from the International Finance Corporation (“IFC”), in partnership with SECO and the Government of Japan.

Who should attend?

Directors of companies aspiring to apply good corporate governance and other interested individuals, including directors of companies preparing for IPOs and new directors of public companies or joint-stock companies looking to attract more investors.

How is the Program delivered?

The Program will be conducted virtually, in English only, over two half-days via VIOD’s Zoom class. The Program consists of 4 interactive modules to cover fundamental aspects of corporate governance, board room practices and regulatory overview.

Attendance Requirements

To be eligible for the DCP certificate, every participant needs to attend full course time. In the very exceptional cases, we accept only fifteen minutes of late arrival or leaving before time of each afternoon (total 30 minutes allowed per the whole program).

 The DIP Certificate of Completion, endorsed by VIOD, will be awarded only after the attendance requirements are fulfilled.

Simon is an independent advisor on governance, institutional investment, strategy/organization, and capital markets. He is also a tutor in sustainable finance at the Cambridge Institute for Sustainability Leadership.

Previously, Simon was a partner at Tapestry Networks, External Senior Advisor at McKinsey & Company, partner at activist investment firm Governance for Owners, and Head of Corporate Governance at Barclays Global Investors. He started his professional career as a securities lawyer with Linklaters & Paines and Shearman & Sterling in London, and also served as Principal Administrator/Counsel at the OECD in Paris.

In addition, Simon has taught post-graduate courses on corporate governance at Northwestern University School of Law and London School of Economics and Political Science.

Simon holds a Juris Doctor degree from Northwestern University and is admitted to the New York bar.

Ada has over 20 years of experience in capital market, investment and banking in Thailand. During that time, she led teams of Debt Capital Market, Financial Institutions Banking Relationship, Marketing and Sales at ABN AMRO Bank, HSBC and The Royal Bank of Scotland.   Ada has served as a member of Investment Advisory Team since 2009 for The Thai Red Cross Society, was Board of Director of Thai Bond Market Association in the early 2000’s and participated as SEC Committees Members on  several working groups such as Sustainability of Thai listed companies, Bond Market Development etc.

During 2015-2018, Ada was Executive Vice President of Thai Institute of Directors with direct responsibility to oversee Director Development, Research and Policy Departments. She was leading the development and management all of 23 Training Programs of the Thai IOD.  These were offered in Thailand and CLMV countries with over 3,000 Directors, Senior Executives and Company Secretaries attendants per year.

Ms. Leyal Savas is Senior ESG Officer for IFC’s ESG Advisory Program in Asia and the Pacific. She is based in Ho Chi Minh City, Vietnam. Before joining IFC, Leyal was a Director at Ernst & Young (EY) in the Middle East and North Africa region. She provided advisory services in corporate governance, risk management and internal audit. She was a PhD candidate in corporate governance at the University of Queensland. She holds CIA, CISA and CFE certifications.

Dr. Hien Thu Nguyen is a member of the Corporate Governance Evaluation Committee of the ASEAN Corporate Governance Scorecard Project, an initiative of the ASEAN Capital Markets Forum (ACMF) since 2012, upon supports by ADB and IFC. She is a member of preliminary assessment council of the Vietnam Listed Company Awards 2018. She has executed Vietnam Corporate Governance Scorecard projects by the IFC-SSC-GCGF in years 2010-2012.

She held position Vice Dean of the School of Industrial Management, University of Technology, VNU-HCM from 2009 to 2013, and is currently the Managing Director of Maastricht MBA Program in Vietnam since 2012. She has accumulated consulting, research, executive-training experiences for executives and corporate board members in corporate finance, corporate governance, and merger and acquisitions.

She got Bachelor’s degree in Finance and Banking from University of Economics – HCM City; MBA from Asian Institute of Technology (Thailand); and Ph.D. in Finance from Old Dominion University (USA). She completed the Director Certification Program Class 183/2013 (AEC) by Thai IOD.

Mr. Thinh devotes his 20+ years of broad experiences in the areas of risk, governance and compliance in Vietnam in the region. Prior to VIOD, he had spent 16 years with PwC where he led internal audit and risk management practices of Hanoi office serving clients across industry and sector. He has also acted as Head of Supervisory Board for a leading company in F&B industry.

Mr. Thinh is also a frequent speaker in different public events organized by leading organizations such as PwC, VCCI, IFC, EU, ACCA, VACPA… on different topics of internal audit, finance effectiveness, risk management, corporate governance and sustainability development

Since 2013, Thinh has been the head of judging panel for the Sustainability Reporting Award, an annual reporting award by HOSE, HNX, SSC, Dragon Capital and VIR for listed companies. He is also Deputy President of ACCA Vietnam Member Committee.

He holds MBA from Latrobe University. He is also a fellow member of ACCA and Certified Internal Auditor.

Registration

TERMS & CONDITIONS

  1. Due to limited seat, registration is only confirmed in written form via email upon successful payment. If you have not received a written confirmation acknowledgement prior to the commencement of the program, it is the participant’s responsibility to contact us to confirm.
  2. All payment must be made by 22/6/2021.
  3. Official electronic invoice will be sent to registered email within 7 working days after the end of the program.
  4. No refund is applied upon no shows or cancellation after successful payment.
  5. The conditions are subject to change without prior notice.

Cancellation Policy for successful registration and payments

When individuals or organizations have successfully registered, confirmed and have paid for their participation in VIOD’s fee-based programs and / or events (hereinafter referred to as “Registrant”) but could not attend the program for some reasons, the following terms will apply:

  • The Registrant can transfer their registration to another participant no later than 3 working days before the commencement of the registered program/event, provided that the new Registrant is accepted by VIOD.
  • If the Registrant notices VIOD via email or phone at least five working days in advance about the cancellation of their registration, they have the right to choose one of the following options:
    • VIOD shall refund 50% of the paid amount; or
    • VIOD shall reserve their right to register for future programs.
  • If the Registrant notices the cancellation of the registered program / event less than 5 working days, VIOD will not refund nor reserve the right to register for future programs.
